Articles of Governance and By-Laws of the Association

THE CONSTITUTION OF COLLEGE OF MEDICINE UNIVERSITY OF LAGOS (ALUMNI) ASSOCIATION THE NORTH - AMERICA BRANCH JANUARY, 1999

PREAMBLE

We the former students of COLLEGE OF MEDICINE UNIVERSITY OF LAGOS (CMUL), desirous of remaining together as friends, hereby assemble to form an Association which shall be known as and called MEDILAG ALUMNI ASSOCIATION; for the purpose of achieving the aims and objectives, herein, contained in this Constitution which we hereby make, enact and give to ourselves.

 

ARTICLE # 1: THE COMMENCE OF THE ASSOCIATION
Name: The Association shall be known as College of Medicine University of Lagos

(CMUL), Old Students Association of North America, hereinafter, referred to as the Association, and shall be constituted in accordance with the provisions of this Constitution which we hereby make, enact and give ourselves.

Political or Religious Stand

This organization shall not be for the purpose of benefiting or perpetuating any particular religious group or political beliefs.

Official Address

The official address of the Association shall bare the address of the incumbent of General Secretary as at the time of such correspondence. This provision is without prejudice to the Association applying for its own Post Office Box.

The Fiscal Year of the Association: The fiscal year of the Association shall be the calendar year.

 

ARTICLE # 2: AIMS & OBJECTIVES

(2.1) To foster friendship among members of the College of Medicine University Of Lagos Alumni, and promote their welfare and that of its community.

(2.2) To embark on activities and ventures which shall enhance the continued progress of College of Medicine University of Lagos, and to develop and update its infrastructure, advancement of research, and to improve the quality of patient care, education and professional development in the Medical Sciences.

(2.3) To create a forum for maintaining contact, cooperation and exchange of ideas with each member, College of Medicine University Of Lagos students and the global medical community; as well as pursuing the obligations and objectives of the Old Student Association, at the national level.

(2.4) To coordinate and cooperate with the public, non-profit and private entities in carrying out the activities of the association.

(2.5) To identify and honor alumni who has made outstanding contributions to their community, profession and/or the public at large.

(2.6) This association is organized exclusively for charitable, educational and scientific purposes, including, the making of distributions to organizations that qualify as “exempt” under 501(c)(3) of the Internal Revenue Code or the corresponding section of any future federal tax code. No portion of the assets and net earnings of the association shall be to the benefit of, or distributed to its members, trustees, officers or other private persons. The Association shall be authorized and empowered to pay reasonable compensation for services rendered, and to make payments and distributions in furtherance of the purposes set forth herein. Upon the dissolution of the Association, assets shall be distributed to one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code for a public purpose.

(2.7) To pursue additional objectives of the Association that may be determined in the future.

ARTICLE # 3: MEMBERSHIP AND DUES

(3.1) Regular Members: Persons who attended College of Medicine University of Lagos for at least one completed year, and whose class graduated Medical and Biomedical Sciences without regards to race, sex national origin, age, religion, disability or political beliefs.

(3.2) Honorary Members: Honorary Members may be bestowed to full-time staff of the Association. Such honors shall be based on the rendering of valuable services to the school or association.

(3.3) Only regular members shall be eligible to vote or hold office in the Association.

(3.4) Membership in the Association is not contingent upon payment of dues.

(3.5) Membership dues shall be set by the Alumni general body/board.

ARTICLE # 4: OFFICERS

 

  • Appointments of the Officers:

(4.1) Number. The Association shall be administered by seven Alumni Board officers which shall consist of the following: The President, Treasurer, Financial Secretary, Secretary, Assistant Secretary, Social Secretary, Publicity Secretary, four Zonal Vice Presidents and two Ex-Officio members.

(4.2) Agents and Committees. The Association may also have agents , and may appoint committees as deemed desirable.

(4.3) Officers’ Term. Officers shall be appointed to a two-year term with the possibility of being reelected for an additional two terms.

(4.4) Meeting. The Alumni Board officers may meet as many times a year as deemed necessary by the President of the Association, but shall meet at least four times each year.

(4.5) Election. Election of the Alumni Board Officers shall be held at the meeting of General Membership.

(4.6) Nominations. Names of nominated candidates for election shall be provided to members at least thirty (30) days prior to the general membership meeting.

(4.7) Voting. Votes may be cast in person, via telephone or in writing.

(4.8) Resignation. An officer may resign by delivering a written resignation to the President, Treasurer or Secretary of the Association.

(4.9) Vacancies. The President shall have the authority to fill, by appointment, any vacancy on an interim basis until the General Membership meeting is held.

(4.10) Removal. An officer may be suspended or removed with or without cause by two-thirds vote of the Alumni Board Officers, or by the majority vote of general membership.

Duties of the Officers

(4.11) President:

  • Shall in consultation with the General Secretary, summon all executive meetings and the general meeting of the Association.
  • Shall preside over all meetings of the Association or its board. He/She shall develop and direct member support in alumni activities.
  • Shall have a casting vote in case of a tie.
  • Shall be a signatory to all transactions of the Association.
  • Shall be a liaison with the National Alumni Association by providing and ensuring that all relevant information is gathered from the national body and disseminated to members of the North America branch.
  • Shall discharge all other duties which are reasonably incidental to his/her office.

(4.12) Zonal Vice Presidents:

  • Shall be four (4) Vice Presidents representing the four various zones of North America.
  • Shall function as the zonal coordinator of the Association and represent the President in their various zones.
  • Shall perform leadership roles in their respective areas, including, membership recruitment, collection of dues and to convene meetings.
  • Shall generate quarterly reports to the North America National President, and attend annual national meetings.

(4.13) Treasurer:

  • Shall, under the direction of the officer board, have general charge of the financial concerns of the Association, care and custody of funds, including, other valuable paper of the association.
  • Shall report the financial status of the Association.

(4.14) Financial Secretary:

  • Shall work closely with the Treasurer in keeping accurate books of all accounts.
  • Shall be a signatory to the Bank Account.
  • Shall present annual financial reports to the Association.
  • Shall be responsible for collection and recording of all financial contributions of members, and all other monies accruing to the Association.
  • Shall issue appropriate receipts for all funds collected.
  • Shall promptly pay into the Bank Account(s) of the Association, all money collected from members and any other source, whatsoever.
  • Shall be responsible for operating the Bank Account(s), jointly, with the President, General Secretary and the Treasurer.
  • Shall keep an impress account, and when authorized by the Executive Committee, shall pay or cause to be paid all authorized expenditures of the Association. Duplicate records of the account, shall be kept by him/her.
  • Shall keep proper records and perform all other duties that the Association may authorize in the future.
  • Shall also provide to the President, all records, files and other Association’s properties in his/her possession, in the event that he/she ceases to be the inancial Secretary.

(4.15) General Secretary:

  • Shall keep minutes of all meetings of the Association and present for amendment, adoption and confirmation at the following meeting.
  • Shall conduct the correspondence of the Association except otherwise delegated.
  • Shall perform the functions of the President, in his/her absence.

(4.16) Assistant Secretary:

  • Shall hand all correspondence, as it may be required.
  • Shall keep records of membership and/or attendance.

(4.17) Publicity Secretary:

  • Shall, in consultation with the Executive Committee, be responsible for the external and internal publicity of the Association’s activities.

(4.18) Social Secretary:

  • Shall propose suggested social activities for consideration by the Executive Committee.

(4.19) Ex-Officio Members (Two):

  • Shall be two Ex-Officio Members of the Alumni Association.
  • Shall perform such duties as delegated by the Executive Council or the Annual General Meeting.

(4.20) Board of Trustees:

  • Shall be a Board of Trustees of the Association, as appointed by the Executive Council, that may be subject to review by the members of the Association at the Annual General Meeting.
  • Shall be restricted to one of the following:
  • Alumni of the CMUL who has been residing and practicing medicine in North America for fifteen (15) years prior to post residency training.
